Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Kaldr Business Group LLC (“Kaldr Tech,” “we,” “our,” or “us”) through kaldrtech.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

2. Description of Services

Kaldr Tech provides business management software for home service contractors, including scheduling, dispatch, invoicing, payment processing, a professional website, a virtual receptionist, and related tools. Our software is provided at no monthly cost. We charge a transaction fee of 3.5% + $0.30 per payment processed through our platform.

3. Account Registration

• You must be at least 18 years old and have the legal authority to enter into these Terms.
• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account.

4. Payment Terms

Transaction Fees

A fee of 3.5% + $0.30 is applied to each transaction processed through our platform. This fee is deducted automatically from the transaction amount before funds are deposited to your connected bank account.

Instant Payouts

Instant payouts are available for an additional fee of 1.5% of the payout amount. Standard payouts (2 business days) are free.

White Glove Setup

Optional white glove setup service is available for a one-time fee of $999. This includes full account configuration, data migration, and training. The white glove fee is non-refundable once setup work has begun.

AI Usage

Each account includes 100 free AI assistant minutes per month. Usage beyond 100 minutes is billed at $0.37 per minute, invoiced monthly.

5. Stripe Connect

Payment processing is provided through Stripe Connect. By using our payment features, you also agree to Stripe's Connected Account Agreement. Kaldr Tech is not responsible for Stripe's services, fees, or policies beyond our stated transaction fee.

6. Acceptable Use

You agree NOT to:

• Use the services for any unlawful purpose
• Violate any applicable laws or regulations
• Impersonate any person or entity
• Interfere with or disrupt the services or servers
• Attempt to gain unauthorized access to any part of the services
• Use the services to transmit spam, malware, or harmful content
• Reverse engineer, decompile, or disassemble any part of the services
• Process fraudulent transactions or facilitate money laundering

7. Refund Policy

• Transaction fees: Transaction fees are non-refundable once a payment has been successfully processed.
• Chargebacks: If a customer initiates a chargeback, the disputed amount plus any fees imposed by the payment network will be deducted from your account. You agree to cooperate with us in providing evidence to dispute chargebacks.
• Service cancellation: Full refund if canceled within 24 hours of service being scheduled, before the contractor has arrived.
• No refund once the contractor has arrived and begun work.
• No refund after the customer confirms service completion via our confirmation system.
• Quality disputes must be submitted within 48 hours with photo or video evidence.

8. Chargeback Responsibility

As a contractor using our platform, you agree to be financially responsible for chargebacks arising from services not provided as described, failure to complete scheduled work, or quality deficiencies. Kaldr Tech reserves the right to deduct chargeback amounts and associated fees from your future payouts.

9. Intellectual Property

All content, features, and functionality of the Kaldr Tech platform (including software, text, graphics, logos, and design) are owned by Kaldr Business Group LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of your business data.

10. Data Ownership & Portability

You own your business data. If you cancel your account, you may request an export of your data within 30 days of cancellation. We will provide your data in a standard format (CSV or JSON) within 10 business days of your request.

11. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for any downtime, data loss, or service interruptions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, or third-party service failures.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KALDR BUSINESS GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Dispute Resolution & Arbitration

Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the state where Kaldr Business Group LLC is registered.

Class Action Waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Termination

Either party may terminate this agreement at any time. You may cancel your account by contacting support@kaldrbusiness.com. We may suspend or terminate your account for violation of these Terms, fraudulent activity, or at our discretion with 30 days written notice. Upon termination, your right to use the services ceases immediately.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the services after changes take effect constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which Kaldr Business Group LLC is registered, without regard to conflict of law provisions.
